Terms of Use
These Terms of Use ("Terms") constitute a legally binding agreement between you and Miraix Studio and govern your access to and use of Miraix Studio applications, websites, and related services (collectively, the "Products").
By downloading, accessing, or using any Product, you acknowledge that you have read, understood, and agreed to these Terms.
If you do not agree to these Terms, you must not access or use the Products.
1. Service Description
Miraix Studio provides software products and digital tools, including journaling, analytics, and workflow support functionality.
Specific capabilities and limitations are described within each Product experience.
2. Eligibility
You must have the legal capacity to enter into a binding agreement under applicable law to use our Products.
3. Accounts
Some features (such as cloud backup/sync) require account sign-in.
You are responsible for:
- Maintaining account confidentiality
- All activity under your account
- Providing accurate information
You may delete your account in-app where supported.
4. Subscriptions and Billing
Certain Products may offer auto-renewing subscriptions.
4.1 Billing Terms
- Payment is charged to your Apple App Store or Google Play account at purchase confirmation.
- Subscriptions renew automatically unless canceled at least 24 hours before the end of the current period.
- Renewal charges are applied within 24 hours prior to period end.
- You can manage/cancel subscriptions via your App Store/Google Play account settings.
4.2 Free Trials (if offered)
If a free trial is offered, any unused portion may be forfeited when you purchase a subscription.
4.3 Refunds
Refunds are handled by Apple/Google under their policies. We do not directly process store refunds.
5. Acceptable Use
You agree not to:
- Use our Products for illegal or unauthorized purposes
- Reverse engineer, disrupt, or interfere with our Products or services
- Attempt unauthorized access to accounts or infrastructure
- Upload malicious or harmful content/code
- Infringe rights of others
We reserve the right to suspend or terminate access for violations of these Terms.
6. Data and Backups
You are responsible for reviewing and exporting your data as needed.
Cloud features depend on network availability and third-party infrastructure.
While we aim to maintain reliable service, we do not warrant uninterrupted availability or the absence of data loss.
7. Professional or Financial Advice
Product content, analytics, and insights are provided for informational purposes only and do not constitute financial, investment, legal, or tax advice.
You are solely responsible for your decisions and outcomes.
8. Intellectual Property
All rights in our Products, including software, design, branding, and content, are owned by Miraix Studio or its licensors.
You are granted a limited, non-exclusive, revocable license to use our Products under these Terms.
9. Third-Party Services
Our Products may use third-party services (e.g., hosting, analytics, subscription infrastructure, ad providers, Apple/Google billing). Your use of those services may be subject to their separate terms and privacy policies.
10. Disclaimer of Warranties
Our Products are provided "as is" and "as available," without warranties of any kind, to the maximum extent permitted by law.
To the fullest extent permitted by applicable law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Miraix Studio is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data loss, or goodwill.
Our total liability for any claim will not exceed the amount you paid for the relevant Product/subscription in the 12 months before the claim.
12. Termination
You may stop using our Products at any time.
We may suspend or terminate access if you violate these Terms or where required for legal/security reasons.
13. Changes to These Terms
We may revise these Terms from time to time.
Your continued use of the Products after revised Terms become effective constitutes acceptance of those revised Terms.
14. Governing Law
These Terms are governed by the laws of Japan, without regard to conflict of law principles.
Any disputes will be resolved in the courts located in Tokyo District Court, unless consumer law requires otherwise.
